In consideration of the use of the name and logo of Direct Relief for limited purposes as set forth herein, the fundraiser ("Fundraiser") agrees to the terms of this disclaimer.
Fundraiser agrees to be solely responsible for the development and execution of the third party event or promotion ("Event") for the benefit of Direct Relief ("Direct Relief"). Direct Relief will incur no liability whatsoever (financial or otherwise) for the Event or any suits, claims, actions, demands, liabilities, damages, costs, or expenses (including attorneys fees and costs) arising out of or relating to the Event. All financial liabilities will be assumed by the Fundraiser. Direct Relief will not pay for or reimburse any individual or group for expenses incurred as a result of an Event. Fundraiser shall indemnify and hold Direct Relief and its officers, directors, employees, agents, and volunteers harmless against and from any and all suits, claims, actions, demands, liabilities, damages, costs and expenses, including attorneys fees whether incurred in preparation of trial, at trial or on appeal, arising out of or relating to the Event.
Fundraiser agrees to abide by all applicable state and federal laws. Fundraiser shall comply with all state and/or municipal charitable solicitation statutes and/or ordinances which purport to affect or apply to the Event. Fundraiser shall comply with guidelines and policies of Direct Relief pertaining to volunteer and fundraising. Fundraiser hereby acknowledges it has received, read, and understand the Fundraising for Direct Relief guide.
Direct Relief must review and approve all Event materials, including, but not limited to advertising, letters, and press releases, that use the name or logo of Direct Relief, prior to production, printing and publication. Direct Relief must be allowed reasonable turnaround time for such an approval. All promotion materials must fully and truthfully state the percentage of net proceeds that will be contributed to Direct Relief. All materials must specify the full name of Direct Relief (that is, "Direct Relief") and an address or phone number to contact for additional information about Direct Relief. Fundraiser agrees that it will not use any aspect of the Direct Relief brand, name or logo without the express written permission of Direct Relief in respect to a specified Event and for a specific period of time. Direct Relief reserves the right to revoke Fundraiser's use of Direct Relief's name and/or logo at any time for any reason.
Joint fundraiser Events for Direct Relief and other eligible reputable nonprofit organizations may be permitted but solely on a case-by-case basis with the prior written consent of Direct Relief. Events must support the core activities of Direct Relief. No Event will be permitted for activities outside of Direct Relief's charitable goals and objectives.
Direct Relief does not accept in-kind donations from individuals. Contributions must be U.S. currency.
Events must be appropriate and respectful to all individuals and should represent the spirit of Direct Relief.
Fundraiser hereby agrees to the terms and conditions set forth above and further agrees that the terms set forth herein shall be governed by the laws of the State of California, with venue for all purposes to be in the County of Santa Barbara, State of California.
